But I am afraid I might be short on THA POWA! ]
I want to slap a Athlon64 +3500 (939)
and a radeon 9800pro. Im not really planning on OC being this upgrade is to last me 3+ years and I cant afford to burn it.

Defiantly going to need more power than that. Try something about 400w - 450w and you should be safe.

Being Antec, I'd say that's plenty good.

380 is fine. I've got a 400W (generic) running an A64 3000+, a DVD-RW, 3 hard drives, a 9800 Pro, 2 extra case fans, and the rest of the bells and whistles.
I have a more general question regarding PS's
How do you figure out your PS needs
i know the a64s are power hogs, requiring over 100watts themselves, but how can you calculate your needs, or does anyone have a link to a site that kinda walks you thru the basics (googled to no avail)
Im gonna be running 3HDs, 2cdroms, a64 3200, gf4
im assuming based on what i read a 380 will be sufficient (i currently have a 350 so im hoping that will be enuf til i get a new PS)

Brand of PS matters more than anything as watts themselves aren't too important. I think you'd probably be okay, but I can't say for certain.

i had a 350w ps running a 2800AMD and it had mad overheating problems on the board somwheres about 50C. changed out the ps to a 420Diablo and it dropped hte heat considerably.

Well I built the system and so far it runs great. Allthough the cpu runs quite hot in this case. Around 45C average at idle and 55C at full load sometime peaking at say 61C. T:V is still rock solid though and hasn't crashed do to overheating but I am worried what the long term effects might be on the cpu. If I can't improve things I'll try a new heatsink and as a last resort I will mod the case with a side intake fan :UGH: blowing on the cpu.

There aren't really any long term effects to overheating as long as it's within the spec, but you still probably want to get those temps down. Putting a newer video card in will probably push your heat past stability's edge. I've got a 3200+ 64 that runs at 35ish idle and 40ish at full load. It has an external fan over the CPU, and a blowhole fan though.

For good stability running an athlon64 with a standard complement of peripherals its recommended you buy a PSU with at least 24A on the 12V rail.

Now that's what you wanna look for. Wattage isn't really impoirtant nowadays.

I might add that I'm running an a64 3000+, 2 cdrom drives, 3 hard drives, and a 9800 pro on a 300 watt ps. You really don't need the watts.
