im upgrading from win 98 to win2k pro

The performance gain/loss seems to go either way in marginal amounts. That is not true if you convert the drive to NTFS as it will lose some performance. As far as stability, etc., NTFS is the way to go. Scandisk never runs at boot, you can apply permissions to individual files/folders...use compression.
